Terms of Service

These Terms of Service ("Terms") govern your use of SmarTrust Canada Inc. ("SmarTrust", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Definitions & Parties
- “User” refers to any individual or entity acting as a Buyer, Seller, or Adjudicator.
- “Escrow Transaction” refers to any transaction involving funds held in self-custodial smart contracts.
- “You” means any User.
- SmarTrust Canada Inc. is incorporated under Canadian law; governed by Canadian jurisdiction, GDPR, CCPA, and PIPEDA.
2. Services Provided
SmarTrust offers:
- Creation and management of smart contract escrows
- Premium subscription tiers
- Percentage-based fees on successful transactions and flat fees for adjudication
- Subsidized blockchain gas fees for Users
3. User Eligibility & Conduct
By using SmarTrust, you agree to refrain from fraud, misuse of our platform, uploading illegal content, or engaging in harassment.
4. KYC Requirements
- Required for all Adjudicators; most Buyers and Sellers must complete KYC
- Anonymous transactions allowed when both Buyer and Seller agree
5. Fees & Payment Structure
- Fees (percentage or flat) are deducted upon withdrawal from escrow, in the same token used.
- Applies equally to milestone, partial, split payments, and refunds.
- In the case of adjudication, platform fees are non-refundable to encourage resolution without disputes.
6. Escrow & Fund Release Rules
Escrowed funds are released when:
- Buyer and Seller mutually agree (directly or via mediated proposal)
- An Adjudicator issues a binding decision
- One party is AWOL for 30 days, enabling the other to claim full payout
7. Beta Mode & Liability
SmarTrust operates in beta; smart contracts are not audited.
Use at your own risk.
We disclaim all liability and provide no warranties. Users retain custody of their funds and are responsible for blockchain/security-related issues.
8. Dispute Resolution
- Users agree to first resolve disputes via Adjudicators or mediation.
- If a User opts out, they may proceed in civil court at their own expense.
9. Intellectual Property
- Users retain ownership of all deliverables.
- SmarTrust does not claim ownership or use user content for marketing or platform development.
10. Account Suspension & Closure
- SmarTrust reserves the right to suspend or terminate accounts at any time (UI access only; escrow contracts remain live).
- Users may request account closure; we will process it once all active escrows are concluded.
11. Governing Law & Compliance
These Terms are governed by Canadian law.
We comply with GDPR, CCPA, and PIPEDA.
12. Changes to Terms
We may update these Terms. Any changes will be highlighted to Users via a prompt on login. Continued use implies acceptance.
By using SmarTrust, you confirm that you:
- Are a Buyer, Seller, or Adjudicator abiding by these Terms
- Understand and accept our fee structure and escrow rules
- Acknowledge the platform's beta status and associated risks
- Agree to use adjudication before pursuing court remedies
